BREAK-EVEN MASTERY CALCULATOR TOOL
SOFTWARE LICENSE AGREEMENT
Original Owner: Astral Dreamscape, LLC
Licensed Distributor: The Automated Millionaire Operations, LLC
End User: [CLIENT NAME as per purchase records with The Automated Millionaire Academy]
1. GRANT OF LICENSE
This License Agreement (“Agreement”) is entered into between The Automated Millionaire Operations, LLC (“Licensor”) and the individual or entity identified above (“Licensee”) for the use of the Break-Even Mastery Calculator Tool (“Software”), an Excel-based spreadsheet application originally owned by Astral Dreamscape, LLC and licensed for distribution by The Automated Millionaire Operations, LLC.
License Grant: Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, limited license to use the Software for a period of one (1) year from the effective date above.
2. SCOPE OF USE
Permitted Use:
Personal or business use by Licensee only
Use on devices owned or controlled by Licensee
Creation of backup copies for archival purposes only
Prohibited Use:
Redistribution, resale, or sublicensing of the Software
Reverse engineering, decompiling, or disassembling the Software
Modification of the Software’s core functionality or formulas
Sharing login credentials or access with unauthorized parties
Use beyond the licensed term without renewal
3. LICENSE TERM AND RENEWAL
Initial Term: One (1) year from the effective date
Renewal: Additional one-year licenses may be purchased from The Automated Millionaire or The Automated Millionaire Academy
Termination: This license automatically expires at the end of the term unless renewed
4. LICENSE FEES AND UPDATES
License fees paid ensure:
Ongoing compatibility with current and future versions of Microsoft Excel
Regular updates to maintain Software functionality
Technical support during the license term
Access to enhanced features and improvements
5. INTELLECTUAL PROPERTY
The Software remains the intellectual property of Astral Dreamscape, LLC. No ownership rights are transferred to Licensee. This Agreement grants only the limited use rights specified herein.
6. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTRAL DREAMSCAPE, LLC, THE AUTOMATED MILLIONAIRE OPERATIONS, LLC, THE AUTOMATED MILLIONAIRE, AND THE AUTOMATED MILLIONAIRE ACADEMY (COLLECTIVELY, “PROVIDERS”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Warranties of merchantability and fitness for a particular purpose
Warranties that the Software will be error-free or uninterrupted
Warranties regarding the accuracy of calculations or results
Warranties of non-infringement
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PROVIDERS BE LIABLE FOR:
Any direct, indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, or business opportunities
Damages arising from the use or inability to use the Software
Any business decisions made based on Software calculations
Errors, omissions, or inaccuracies in the Software
MAXIMUM LIABILITY: If any liability is found to exist, the total liability of all Providers shall not exceed the amount paid by Licensee for the current license term.
8. INDEMNIFICATION
Licensee agrees to indemnify, defend, and hold harmless all Providers from and against any claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:
Licensee’s use or misuse of the Software
Licensee’s violation of this Agreement
Any business decisions made using the Software
Any third-party claims related to Licensee’s use of the Software
9. SUPPORT AND MAINTENANCE
During the active license term, Licensor will provide:
Technical support for Software-related issues
Updates to maintain Excel compatibility
Access to user documentation and resources
Support is provided during normal business hours and subject to availability.
10. TERMINATION
Automatic Termination: This Agreement terminates automatically upon expiration of the license term.
Termination for Breach: Licensor may terminate this Agreement immediately if Licensee breaches any terms.
Effect of Termination: Upon termination, Licensee must cease all use of the Software and delete all copies.
11. GENERAL PROVISIONS
Governing Law: This Agreement shall be governed by the laws of [STATE/JURISDICTION].
Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements.
Severability: If any provision is found unenforceable, the remainder of the Agreement shall remain in full force and effect.
Amendment: This Agreement may only be modified in writing signed by both parties.
Assignment: Licensee may not assign this Agreement without prior written consent.
ACKNOWLEDGMENT
By using the Break-Even Mastery Calculator Tool, Licensee acknowledges having read, understood, and agreed to be bound by all terms and conditions of this License Agreement.
